1. IMPORTANT PAYMENT NOTICE

Vendz.gg accepts cryptocurrency only through NowPayments, our exclusive payment processor. All deposits and withdrawals of real cryptocurrency are handled directly by NowPayments. Vendz.gg does not hold, store, or transmit cryptocurrency or fiat funds on behalf of users.

Within the platform, users are credited with a virtual balance — an internal representation used only for transactions inside the Vendz.gg marketplace.

This balance:

• Cannot be withdrawn, transferred, or converted to cryptocurrency or fiat.
• Has no real-world monetary value outside the Vendz.gg platform.
• Exists only for the purpose of internal accounting (e.g., escrow and purchases).

Because Vendz.gg does not handle real funds, issue e-money, or transmit payment instruments, it does not qualify as a financial or payment institution and does not require any payment or crypto service license.

2. OVERVIEW

Vendz.gg ("we," "our," "us") is a digital marketplace that connects verified vendors and buyers to exchange digital goods and in-game services such as gaming accounts, currency, or boosting services ("Services").

By accessing or using Vendz.gg, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use the platform.

3. ELIGIBILITY

Users must be at least 18 years old or meet the age of majority in their jurisdiction.

By using the site, you represent that you have the legal capacity to enter into this agreement.

4. ACCOUNT CREATION AND SECURITY

• Users must provide accurate, complete, and current account information.
• You are responsible for all activity under your account and for maintaining its confidentiality.
• Vendz.gg may require vendors to complete verification (including KYC) to comply with NowPayments' requirements or anti-fraud obligations.
• Any suspicious or unauthorized activity should be reported immediately to: support@vendz.gg

5. VIRTUAL BALANCES AND ESCROW SYSTEM

Vendz.gg uses an internal balance and escrow model for in-platform transactions.

a. Deposits (via NowPayments)

• Buyers deposit cryptocurrency via NowPayments, which credits the equivalent value to their Vendz.gg internal balance.
• The crypto is sent directly to NowPayments' wallet. Vendz.gg never receives or stores it.
• The credited internal balance is purely virtual and usable only within the marketplace.

b. Marketplace Purchases and Escrow

• When a buyer makes a purchase, their internal balance is temporarily locked by the Vendz.gg escrow system.
• This escrow is virtual — no cryptocurrency is moved during this step.
• The escrowed balance ensures that funds cannot be reused or double-spent.

c. Release and Seller Balances

• Once the buyer confirms that the product or service has been successfully delivered, the escrowed amount is released to the seller's internal balance.
• The seller's internal balance is also virtual and represents pending value that can later be paid out through NowPayments.

d. Seller Payouts (via NowPayments)

• Sellers can request a payout of their earned balance.
• Vendz.gg triggers NowPayments to execute a corresponding cryptocurrency payout from NowPayments' system to the seller's designated crypto address.
• Vendz.gg does not perform or control the transfer — all payouts are executed by NowPayments.

6. NON-WITHDRAWABLE CUSTOMER BALANCES

• User balances within Vendz.gg cannot be withdrawn, sent to other users, or converted into crypto or fiat.
• They may only be used to purchase goods or services within Vendz.gg.
• This limitation ensures compliance with international regulations and confirms that Vendz.gg does not issue or manage real funds or e-money.

7. PROHIBITED USES

You may not use Vendz.gg for:

• Selling or distributing illegal goods or stolen digital property.
• Circumventing game publishers' Terms of Service or intellectual property rights.
• Fraudulent, deceptive, or abusive conduct.
• Money laundering or any activity prohibited by law.

Vendz.gg reserves the right to remove listings or suspend accounts that violate these rules.

8. RISK AND LIABILITY

• Buying, selling, or transferring digital game items or accounts may violate the terms of certain games or publishers.
• Vendz.gg assumes no responsibility for enforcement actions taken by game publishers (e.g., bans, suspensions).
• All transactions are conducted at the user's own risk.

Vendz.gg provides the platform "as is," without warranties of any kind. We are not responsible for vendor actions, product authenticity, or damages resulting from transactions.

9. INTELLECTUAL PROPERTY AND ABUSE

• Users must respect third-party intellectual property rights.
• Any copyright or trademark complaints should be sent to reportabuse@vendz.gg.
• Vendz.gg may remove infringing content and suspend related accounts where necessary.

10. REGULATORY AND COMPLIANCE NOTICE

Vendz.gg is a platform provider, not a financial intermediary. NowPayments is the only payment processor handling cryptocurrency inflows and outflows. Vendz.gg's internal balance and escrow system is a virtual accounting mechanism that represents platform credit, not actual cryptocurrency or e-money.

Therefore:

• Vendz.gg does not provide financial or payment services under PSD2, MiCA, or equivalent U.S. financial regulations (including FinCEN MSB guidance).
• Vendz.gg does not issue e-money as defined under the EU Electronic Money Directive (2009/110/EC) or provide payment services under the Payment Services Directive (2015/2366).
• Users acknowledge and agree that Vendz.gg's balances are purely virtual and do not constitute real funds.
• Vendz.gg does not operate as a Money Services Business (MSB) or payment institution in any jurisdiction.
• All cryptocurrency-related movements are handled directly by NowPayments, which is responsible for its own compliance with applicable crypto and AML regulations.

11. TERMINATION

Vendz.gg may suspend or terminate user accounts for violating these Terms or applicable laws.

Upon termination, all internal balances may be forfeited if they relate to violations or fraudulent activity.

12. CHANGES

Vendz.gg may modify these Terms at any time. The updated version will be published with a new "Last Updated" date. Continued use of the platform after changes constitutes acceptance of the revised Terms.
